Le Site a pour vocation de présenter à son utilisateur les produits et les services commercialisés par CABRILOG SAS et d’en proposer la vente à distance. Les noms de produits, services et sociétés figurant sur le Site peuvent être des marques déposées appartenant à des tiers et sont protégées à ce titre par le droit de la propriété intellectuelle.

CONDITIONS GÉNÉRALES DE VENTE

Préambule

CABRILOG SAS a pour activité la conception, le développement, l’édition, la distribution et la maintenance de logiciels de «géométrie dynamique», issus de la technologie Cabri et destinés à l’enseignement et la formation.
CABRILOG SAS propose une vente à distance de licences d’utilisation de ses logiciels, par Internet, télécopie, courrier postal ou électronique (courriel). Les présentes Conditions Générales de Vente sont applicables aux ventes réalisées au moyen du site Internet de CABRILOG SAS.

Définitions

Société : la société CABRILOG SAS
Site Internet : le site Internet https://cabri.com de la Société.
Client : Toute personne physique ou morale qui commande un ou des Produits de la Société dans le cadre de son activité professionnelle ou non.
Produit / Produits : la ou les licences d’utilisation de logiciels proposées à la vente sur le Site Internet de la Société.
Conditions Générales : l’ensemble des stipulations composant les présentes conditions générales de vente qui s’appliquent à toute commande passée auprès de la Société.
Version Boite : Produit livré dans une boîte contenant un (1) CD-ROM avec tous les fichiers du logiciel dont la licence d’utilisation est cédée.
Version Electronique : Produit livré sous forme d’un fichier téléchargeable via le Site Internet.

Opposabilité des Conditions Générales

Le fait de passer commande implique l’adhésion entière et sans réserve du Client à ces Conditions Générales. Toute condition contraire posée par le Client sera, à défaut d’acceptation expresse, inopposable à la Société quelque soit le moment où elle aura pu être portée à sa connaissance.
Le fait pour la Société de ne pas se prévaloir à un moment donné de l’une quelconque des présentes Conditions Générales, ne peut être interprété comme valant renonciation à se prévaloir ultérieurement de l’une quelconque des dites conditions.
La Société se réserve la possibilité d’adapter ou de modifier les Conditions Générales.
En cas de modification il sera appliqué à chaque commande les Conditions Générales en vigueur au jour de la commande.

Capacité juridique

Le Client déclare avoir la capacité de conclure le présent contrat, dont les Conditions Générales sont présentées ci-après, c’est à dire pour les personnes physiques avoir la majorité légale et ne pas être sous tutelle ou curatelle.

Choix des Produits

Le Client est seul maître du choix du Produit et de son adéquation à ses besoins. La Société n’assume aucune responsabilité de ce fait. Il incombe au Client de solliciter auprès de la Société toutes informations et renseignements complémentaires sur les caractéristiques du Produit ou son utilisation. Le Client après avoir pris connaissance des Produits commercialisés par la Société et vérifié leur compatibilité, en fonction de ses autres équipements (matériels, logiciels, configurations, etc.) et de ses besoins tels qu’il les a déterminés, enregistre sa commande sous sa propre responsabilité. La Société ne pourra en aucun cas être tenue pour responsable des dommages directs ou indirects, de quelque nature que ce soit, liés à l’utilisation ou à l’impossibilité d’utilisation du Produit vendu.
Le Client peut choisir de commander le Produit en Version Boite et/ou en Version Electronique.

Commande – Formation du contrat

Il est prévu, lors de l’enregistrement de la commande passée sur le Site Internet, l’affichage d’une page «Confirmation» permettant au Client de vérifier/modifier le détail de sa commande et le prix total.
Le Client confirme la commande par un clic sur le bouton «Confirmer la commande» en pied de page. Il a alors accès à la page du Site Internet par laquelle il pourra confirmer définitivement sa commande en effectuant le paiement.
Après paiement, le Client reçoit de la part de Cabrilog, une attestation d’enregistrement de sa commande (par courriel). Nous recommandons au Client de garder une copie de ce courriel comme preuve de sa commande.

Prix, paiement et facturation

Les prix sont indiqués et facturés comme suit :
– prix des Produits en €uro hors taxe
– frais de port hors taxe
– montant de la TVA
– montant TTC de la commande.

La Société se réserve le droit de modifier ses prix à tout moment et s’engage à appliquer les tarifs en vigueur au moment de la commande du Client.
Tout changement de taux de TVA sera répercuté sur le prix TTC des Produits.

Pour tous les Produits expédiés hors Union Européenne le prix sera calculé hors taxe sur la facture. Chaque client est responsable de la déclaration et du paiement de la TVA, des droits de douane, taxes locales, droits d’importation ou autres taxes d’état exigibles dans son pays. Ces droits et sommes ne relèvent pas du ressort de la Société.
Le mode de paiement accepté pour les ventes réalisées sur le Site Internet est la carte bancaire.
Pour les commandes de Version Boîte, la facture est livrée au Client avec le produit.
Pour les commandes de Version Electronique, la confirmation de commande reçue par courriel fait office de facture.

Frais de port et délais de livraison

Les Produits commandés en Version Boite seront livrés à l’adresse indiquée par le Client au cours du processus de commande, dans les 20 jours suivant le paiement de la commande.
Le délai indiqué ci-dessus est un délai moyen fonction de la destination, du mode d’expédition et de la disponibilité du Produit. Les dépassements de délai de livraison ne peuvent donner lieu à dommages et intérêts. La Société se réserve le choix du transporteur et garantit le bon acheminement des Produits. Les frais de port sont facturés au client sur la facture de la Société.

Zone géographique de livraison

La Société livre les Produits en Version Boîte dans tous les pays desservis par les transporteurs internationaux. La Société livre les Produits en Version Electronique partout où le réseau permet le téléchargement complet de ses fichiers.

Vérification des Produits livrés en Version Boite

Il appartient au Client de vérifier l’état de l’emballage et la conformité à la commande passée du Produit livré en Version Boite. Toute réclamation sur les vices apparents ou sur la non conformité du Produit livré en Version Boite devra être signalée par le Client dans les cinq (5) jours ouvrables à compter de la date de réception du Produit par le Client, en envoyant :
– soit un courriel à : ventes@cabri.com
– soit une lettre recommandée avec Avis de Réception à la Société à l’adresse suivante : CABRILOG, 122 avenue du Vercors 38600 Fontaine – FRANCE. La date du cachet de la Poste fait foi.

A défaut de réclamation effectuée dans le délai précité, les Produits livrés en Version Boite seront réputés conformes et acceptés par le Client.Aucun Produit ne pourra être échangé avant d’avoir été réexpédié et réceptionné par la Société, en bon état, tel que livré par les soins de la Société. En particulier le Produit ne devra pas avoir été descellé.

Délai de rétractation

Le délai de rétractation accordé au Client sur l’achat de biens, dans le cadre de la loi, est de sept (7) jours francs, à compter de la date de réception de sa commande. Durant ce délai, le Client peut retourner, à ses frais, sans autres pénalités, le ou les Produits ne lui convenant pas. Le Client pourra alors choisir entre, d’une part, le remboursement des sommes versées en contrepartie de la réexpédition du ou des Produits et d’autre part, l’échange du ou des Produits commandés. Il est entendu que le ou les Produits retournés aux frais du Client devront être en bon état, tel que livré(s) par les soins de la Société.

En raison de leur caractère duplicable, les logiciels informatiques devront être renvoyés scellés ou dans leur emballage d’origine. A défaut, aucun échange ni remboursement ne pourra être effectué, sauf si le Client a démontré que le Produit comporte un vice conforme à l’article «Garantie légale et service après-vente» des présentes Conditions Générales. Les retours de Produits doivent obligatoirement être effectués à l’adresse postale indiquée dans l’article « Garantie légale et service après-vente ».

Garantie légale et service après-vente

Conformément aux articles 1641 et suivants du Code civil, le Client bénéfice de la garantie légale contre les vices cachés. Ainsi en cas de défaut de fabrication du Produit le rendant impropre à l’usage auquel il le destine, le Client peut s’adresser au service après-vente de la Société en envoyant :
– soit un courriel à ventes@cabri.com
– soit une lettre recommandée avec Avis de Réception à la Société, à l’adresse suivante : CABRILOG, 122 avenue du Vercors 38600 Fontaine – FRANCE.
Le Client aura alors la possibilité de choisir entre rendre le Produit et se faire restituer le prix ou garder le Produit et se faire restituer une partie du prix.

Dans l’hypothèse où le Client choisirait de retourner le Produit, les frais de retour seront à la charge de la Société sur la base du mode de livraison d’origine.
Le Client reconnaît que la Société a dûment rempli son obligation d’ information.

Sécurité des transactions

Le paiement des achats en ligne se fait par carte bancaire au sein du site de la SOCIETE GENERALE grâce à un renvoi automatique du Site Internet vers le site de la SOCIETE GENERALE. De la sorte, aucune info rmation bancaire concernant le Client ne transite via la Société. Afin d’optimiser la sécurité des transactions sur Internet, un système de paiement en ligne SSL (Secure Socket Layer) permet de crypter les coordonnées de la carte bancaire du Client.
Note : au cas où le Client utiliserait un navigateur non compatible avec le système SSL, la transaction ne serait pas réalisable.

Réserve de propriété

La Société conserve la propriété pleine et entière des Produits vendus jusqu’au paiement intégral du prix, frais et taxes comprises. La simple remise d’un titre de paiement ne constitue pas un paiement. Les dispositions ci-dessus ne font pas obstacle au transfert au Client des risques de perte ou de détérioration. A défaut de paiement du prix intégral, frais et taxes comprises, la Société sera en droit d’exiger la restitution du matériel livré. Les frais qui pourront être engagés pour cette restitution seront à la charge du Client.

Logiciels, garanties et obligations

Les logiciels dont la licence d’utilisation est vendue sur le Site Internet sont garantis par leur auteur, conformément aux conditions fixées dans leur documentation. La Société ne peut donner aucune garantie quelle qu’elle soit sur les logiciels et en particulier sur les éventuels défauts ou bogues. Après le complet paiement du prix et sauf clauses contraires plus restrictives figurant sur la licence jointe au Produit, le Client bénéficie sur les logiciels d’une licence personnelle d’utilisation non cessible pour une durée indéterminée à l’exclusion de tout droit de propriété. Conformément aux dispositions légales et réglementaires en vigueur, le Client s’interdit de procéder à toute copie autre que celles autorisées dans le cadre de la législation et à tout acte susceptible de porter atteinte aux droits des auteurs, de leurs ayants droit ou de la Société.

L’utilisation du Produit est subordonnée à l’acceptation préalable par le Client, du texte de la licence d’utilisation jointe au Produit sous format papier pour la Version Boite et sous forme de fichier électronique pour la Version Electronique.

De convention expresse, l’installation des logiciels sur un matériel info rmatique vaudra acceptation sans réserve de la licence d’utilisation jointe.

Informations nominatives

En application de la loi n°78-17 du 6 janvier 1978 relative à l’ info rmatique et aux libertés, les info rmations qui sont demandées au Client sont nécessaires au traitement de sa commande et sont destinées aux services de la Société. Le Client dispose d’un droit d’accès aux info rmations le concernant. Sur demande, elles peuvent lui être communiquées et, en cas d’erreur, ou de modification, être rectifiées. Le Client peut également s’opposer à ce qu’elles soient communiquées à des tiers en adressant un courrier à la Société.

Force majeure

La Société dégage sa responsabilité pour tout manquement à ses obligations contractuelles dans l’hypothèse d’une force majeure ou fortuite, y compris, mais sans y être limitées, catastrophes, incendies, grève interne ou externe, défaillance ou pannes internes ou externes, et d’une manière générale tout événement ne permettant pas la bonne exécution des commandes.

Intégralité

Les Conditions Générales et les rubriques afférentes (commande, sécurité, paiement, livraison, garantie, SAV) représentent l’intégralité des droits et obligations de la Société et du Client concernant les commandes de Produits sur le site Internet. Aucune condition générale ou spécifique communiquée par le Client ne pourra s’intégrer aux Conditions Générales. Si une clause des Conditions Générales est déclarée illégale, nulle ou inexécutable par un tribunal pour une raison quelconque, cette clause sera réputée dissociée des autres clauses et ne changera en rien la validité et l’opposabilité de ces autres clauses.

Droit applicable – Litige

Les Conditions Générales sont régies par la loi française. En cas de contestation sur l’interprétation, sur l’exécution et la réalisation de l’une quelconque des dispositions des Conditions Générales et à défaut d’accord amiable entre la Société et le Client, les tribunaux français sont compétents.

Conditions Générales : l’ensemble des stipulations composant les présentes conditions générales de vente qui s’appliquent à toute commande passée auprès de la Société.
Version Boite : Produit livré dans une boîte contenant un (1) CD-ROM avec tous les fichiers du logiciel dont la licence d’utilisation est cédée.
Version Electronique : Produit livré sous forme d’un fichier téléchargeable via le Site Internet.

Opposabilité des Conditions Générales

Le fait de passer commande implique l’adhésion entière et sans réserve du Client à ces Conditions Générales. Toute condition contraire posée par le Client sera, à défaut d’acceptation expresse, inopposable à la Société quelque soit le moment où elle aura pu être portée à sa connaissance.
Le fait pour la Société de ne pas se prévaloir à un moment donné de l’une quelconque des présentes Conditions Générales, ne peut être interprété comme valant renonciation à se prévaloir ultérieurement de l’une quelconque des dites conditions.
La Société se réserve la possibilité d’adapter ou de modifier les Conditions Générales.
En cas de modification il sera appliqué à chaque commande les Conditions Générales en vigueur au jour de la commande.

Capacité juridique

Le Client déclare avoir la capacité de conclure le présent contrat, dont les Conditions Générales sont présentées ci-après, c’est à dire pour les personnes physiques avoir la majorité légale et ne pas être sous tutelle ou curatelle.

Choix des Produits

Le Client est seul maître du choix du Produit et de son adéquation à ses besoins. La Société n’assume aucune responsabilité de ce fait. Il incombe au Client de solliciter auprès de la Société toutes informations et renseignements complémentaires sur les caractéristiques du Produit ou son utilisation. Le Client après avoir pris connaissance des Produits commercialisés par la Société et vérifié leur compatibilité, en fonction de ses autres équipements (matériels, logiciels, configurations, etc.) et de ses besoins tels qu’il les a déterminés, enregistre sa commande sous sa propre responsabilité. La Société ne pourra en aucun cas être tenue pour responsable des dommages directs ou indirects, de quelque nature que ce soit, liés à l’utilisation ou à l’impossibilité d’utilisation du Produit vendu.
Le Client peut choisir de commander le Produit en Version Boite et/ou en Version Electronique.

Commande – Formation du contrat

Il est prévu, lors de l’enregistrement de la commande passée sur le Site Internet, l’affichage d’une page «Confirmation» permettant au Client de vérifier/modifier le détail de sa commande et le prix total.
Le Client confirme la commande par un clic sur le bouton «Confirmer la commande» en pied de page. Il a alors accès à la page du Site Internet par laquelle il pourra confirmer définitivement sa commande en effectuant le paiement.
Après paiement, le Client reçoit de la part de Cabrilog, une attestation d’enregistrement de sa commande (par courriel). Nous recommandons au Client de garder une copie de ce courriel comme preuve de sa commande.

Prix, paiement et facturation

Les prix sont indiqués et facturés comme suit :
– prix des Produits en €uro hors taxe
– frais de port hors taxe
– montant de la TVA
– montant TTC de la commande.

La Société se réserve le droit de modifier ses prix à tout moment et s’engage à appliquer les tarifs en vigueur au moment de la commande du Client.
Tout changement de taux de TVA sera répercuté sur le prix TTC des Produits.

Pour tous les Produits expédiés hors Union Européenne le prix sera calculé hors taxe sur la facture. Chaque client est responsable de la déclaration et du paiement de la TVA, des droits de douane, taxes locales, droits d’importation ou autres taxes d’état exigibles dans son pays. Ces droits et sommes ne relèvent pas du ressort de la Société.
Le mode de paiement accepté pour les ventes réalisées sur le Site Internet est la carte bancaire.
Pour les commandes de Version Boîte, la facture est livrée au Client avec le produit.
Pour les commandes de Version Electronique, la confirmation de commande reçue par courriel fait office de facture.

Frais de port et délais de livraison

Les Produits commandés en Version Boite seront livrés à l’adresse indiquée par le Client au cours du processus de commande, dans les 20 jours suivant le paiement de la commande.
Le délai indiqué ci-dessus est un délai moyen fonction de la destination, du mode d’expédition et de la disponibilité du Produit. Les dépassements de délai de livraison ne peuvent donner lieu à dommages et intérêts. La Société se réserve le choix du transporteur et garantit le bon acheminement des Produits. Les frais de port sont facturés au client sur la facture de la Société.

Zone géographique de livraison

La Société livre les Produits en Version Boîte dans tous les pays desservis par les transporteurs internationaux. La Société livre les Produits en Version Electronique partout où le réseau permet le téléchargement complet de ses fichiers.

Vérification des Produits livrés en Version Boite

Il appartient au Client de vérifier l’état de l’emballage et la conformité à la commande passée du Produit livré en Version Boite. Toute réclamation sur les vices apparents ou sur la non conformité du Produit livré en Version Boite devra être signalée par le Client dans les cinq (5) jours ouvrables à compter de la date de réception du Produit par le Client, en envoyant :
– soit un courriel à : ventes@cabri.com
– soit une lettre recommandée avec Avis de Réception à la Société à l’adresse suivante : CABRILOG, 122 avenue du Vercors 38600 Fontaine – FRANCE. La date du cachet de la Poste fait foi.

A défaut de réclamation effectuée dans le délai précité, les Produits livrés en Version Boite seront réputés conformes et acceptés par le Client.Aucun Produit ne pourra être échangé avant d’avoir été réexpédié et réceptionné par la Société, en bon état, tel que livré par les soins de la Société. En particulier le Produit ne devra pas avoir été descellé.

Délai de rétractation

Le délai de rétractation accordé au Client sur l’achat de biens, dans le cadre de la loi, est de sept (7) jours francs, à compter de la date de réception de sa commande. Durant ce délai, le Client peut retourner, à ses frais, sans autres pénalités, le ou les Produits ne lui convenant pas. Le Client pourra alors choisir entre, d’une part, le remboursement des sommes versées en contrepartie de la réexpédition du ou des Produits et d’autre part, l’échange du ou des Produits commandés. Il est entendu que le ou les Produits retournés aux frais du Client devront être en bon état, tel que livré(s) par les soins de la Société.

En raison de leur caractère duplicable, les logiciels informatiques devront être renvoyés scellés ou dans leur emballage d’origine. A défaut, aucun échange ni remboursement ne pourra être effectué, sauf si le Client a démontré que le Produit comporte un vice conforme à l’article «Garantie légale et service après-vente» des présentes Conditions Générales. Les retours de Produits doivent obligatoirement être effectués à l’adresse postale indiquée dans l’article « Garantie légale et service après-vente ».

Garantie légale et service après-vente

Conformément aux articles 1641 et suivants du Code civil, le Client bénéfice de la garantie légale contre les vices cachés. Ainsi en cas de défaut de fabrication du Produit le rendant impropre à l’usage auquel il le destine, le Client peut s’adresser au service après-vente de la Société en envoyant :
– soit un courriel à ventes@cabri.com
– soit une lettre recommandée avec Avis de Réception à la Société, à l’adresse suivante : CABRILOG, 122 avenue du Vercors 38600 Fontaine – FRANCE.
Le Client aura alors la possibilité de choisir entre rendre le Produit et se faire restituer le prix ou garder le Produit et se faire restituer une partie du prix.

Dans l’hypothèse où le Client choisirait de retourner le Produit, les frais de retour seront à la charge de la Société sur la base du mode de livraison d’origine.
Le Client reconnaît que la Société a dûment rempli son obligation d’ information.

Sécurité des transactions

Le paiement des achats en ligne se fait par carte bancaire au sein du site de la SOCIETE GENERALE grâce à un renvoi automatique du Site Internet vers le site de la SOCIETE GENERALE. De la sorte, aucune info rmation bancaire concernant le Client ne transite via la Société. Afin d’optimiser la sécurité des transactions sur Internet, un système de paiement en ligne SSL (Secure Socket Layer) permet de crypter les coordonnées de la carte bancaire du Client.
Note : au cas où le Client utiliserait un navigateur non compatible avec le système SSL, la transaction ne serait pas réalisable.

Réserve de propriété

La Société conserve la propriété pleine et entière des Produits vendus jusqu’au paiement intégral du prix, frais et taxes comprises. La simple remise d’un titre de paiement ne constitue pas un paiement. Les dispositions ci-dessus ne font pas obstacle au transfert au Client des risques de perte ou de détérioration. A défaut de paiement du prix intégral, frais et taxes comprises, la Société sera en droit d’exiger la restitution du matériel livré. Les frais qui pourront être engagés pour cette restitution seront à la charge du Client.

Logiciels, garanties et obligations

Les logiciels dont la licence d’utilisation est vendue sur le Site Internet sont garantis par leur auteur, conformément aux conditions fixées dans leur documentation. La Société ne peut donner aucune garantie quelle qu’elle soit sur les logiciels et en particulier sur les éventuels défauts ou bogues. Après le complet paiement du prix et sauf clauses contraires plus restrictives figurant sur la licence jointe au Produit, le Client bénéficie sur les logiciels d’une licence personnelle d’utilisation non cessible pour une durée indéterminée à l’exclusion de tout droit de propriété. Conformément aux dispositions légales et réglementaires en vigueur, le Client s’interdit de procéder à toute copie autre que celles autorisées dans le cadre de la législation et à tout acte susceptible de porter atteinte aux droits des auteurs, de leurs ayants droit ou de la Société.

L’utilisation du Produit est subordonnée à l’acceptation préalable par le Client, du texte de la licence d’utilisation jointe au Produit sous format papier pour la Version Boite et sous forme de fichier électronique pour la Version Electronique.

De convention expresse, l’installation des logiciels sur un matériel info rmatique vaudra acceptation sans réserve de la licence d’utilisation jointe.

Informations nominatives

En application de la loi n°78-17 du 6 janvier 1978 relative à l’ info rmatique et aux libertés, les info rmations qui sont demandées au Client sont nécessaires au traitement de sa commande et sont destinées aux services de la Société. Le Client dispose d’un droit d’accès aux info rmations le concernant. Sur demande, elles peuvent lui être communiquées et, en cas d’erreur, ou de modification, être rectifiées. Le Client peut également s’opposer à ce qu’elles soient communiquées à des tiers en adressant un courrier à la Société.

Force majeure

La Société dégage sa responsabilité pour tout manquement à ses obligations contractuelles dans l’hypothèse d’une force majeure ou fortuite, y compris, mais sans y être limitées, catastrophes, incendies, grève interne ou externe, défaillance ou pannes internes ou externes, et d’une manière générale tout événement ne permettant pas la bonne exécution des commandes.

Il est entendu que le ou les Produits retournés aux frais du Client devront être en bon état, tel que livré(s) par les soins de la Société.

En raison de leur caractère duplicable, les logiciels informatiques devront être renvoyés scellés ou dans leur emballage d’origine. A défaut, aucun échange ni remboursement ne pourra être effectué, sauf si le Client a démontré que le Produit comporte un vice conforme à l’article «Garantie légale et service après-vente» des présentes Conditions Générales. Les retours de Produits doivent obligatoirement être effectués à l’adresse postale indiquée dans l’article « Garantie légale et service après-vente ».

Garantie légale et service après-vente

Conformément aux articles 1641 et suivants du Code civil, le Client bénéfice de la garantie légale contre les vices cachés. Ainsi en cas de défaut de fabrication du Produit le rendant impropre à l’usage auquel il le destine, le Client peut s’adresser au service après-vente de la Société en envoyant :
– soit un courriel à ventes@cabri.com
– soit une lettre recommandée avec Avis de Réception à la Société, à l’adresse suivante : CABRILOG, 122 avenue du Vercors 38600 Fontaine – FRANCE.
Le Client aura alors la possibilité de choisir entre rendre le Produit et se faire restituer le prix ou garder le Produit et se faire restituer une partie du prix.

Dans l’hypothèse où le Client choisirait de retourner le Produit, les frais de retour seront à la charge de la Société sur la base du mode de livraison d’origine.
Le Client reconnaît que la Société a dûment rempli son obligation d’ information.

Sécurité des transactions

Le paiement des achats en ligne se fait par carte bancaire au sein du site de la SOCIETE GENERALE grâce à un renvoi automatique du Site Internet vers le site de la SOCIETE GENERALE. De la sorte, aucune info rmation bancaire concernant le Client ne transite via la Société. Afin d’optimiser la sécurité des transactions sur Internet, un système de paiement en ligne SSL (Secure Socket Layer) permet de crypter les coordonnées de la carte bancaire du Client.
Note : au cas où le Client utiliserait un navigateur non compatible avec le système SSL, la transaction ne serait pas réalisable.

Réserve de propriété

La Société conserve la propriété pleine et entière des Produits vendus jusqu’au paiement intégral du prix, frais et taxes comprises. La simple remise d’un titre de paiement ne constitue pas un paiement. Les dispositions ci-dessus ne font pas obstacle au transfert au Client des risques de perte ou de détérioration. A défaut de paiement du prix intégral, frais et taxes comprises, la Société sera en droit d’exiger la restitution du matériel livré. Les frais qui pourront être engagés pour cette restitution seront à la charge du Client.

Logiciels, garanties et obligations

Les logiciels dont la licence d’utilisation est vendue sur le Site Internet sont garantis par leur auteur, conformément aux conditions fixées dans leur documentation. La Société ne peut donner aucune garantie quelle qu’elle soit sur les logiciels et en particulier sur les éventuels défauts ou bogues. Après le complet paiement du prix et sauf clauses contraires plus restrictives figurant sur la licence jointe au Produit, le Client bénéficie sur les logiciels d’une licence personnelle d’utilisation non cessible pour une durée indéterminée à l’exclusion de tout droit de propriété. Conformément aux dispositions légales et réglementaires en vigueur, le Client s’interdit de procéder à toute copie autre que celles autorisées dans le cadre de la législation et à tout acte susceptible de porter atteinte aux droits des auteurs, de leurs ayants droit ou de la Société.

L’utilisation du Produit est subordonnée à l’acceptation préalable par le Client, du texte de la licence d’utilisation jointe au Produit sous format papier pour la Version Boite et sous forme de fichier électronique pour la Version Electronique.

De convention expresse, l’installation des logiciels sur un matériel info rmatique vaudra acceptation sans réserve de la licence d’utilisation jointe.

Informations nominatives

En application de la loi n°78-17 du 6 janvier 1978 relative à l’ info rmatique et aux libertés, les info rmations qui sont demandées au Client sont nécessaires au traitement de sa commande et sont destinées aux services de la Société. Le Client dispose d’un droit d’accès aux info rmations le concernant. Sur demande, elles peuvent lui être communiquées et, en cas d’erreur, ou de modification, être rectifiées. Le Client peut également s’opposer à ce qu’elles soient communiquées à des tiers en adressant un courrier à la Société.

Force majeure

La Société dégage sa responsabilité pour tout manquement à ses obligations contractuelles dans l’hypothèse d’une force majeure ou fortuite, y compris, mais sans y être limitées, catastrophes, incendies, grève interne ou externe, défaillance ou pannes internes ou externes, et d’une manière générale tout événement ne permettant pas la bonne exécution des commandes.

Préambule

CABRILOG SAS a pour activité la conception, le développement, l’édition, la distribution et la maintenance de logiciels de «géométrie dynamique», issus de la technologie Cabri et destinés à l’enseignement et la formation.
CABRILOG SAS propose une vente à distance de licences d’utilisation de ses logiciels, par Internet, télécopie, courrier postal ou électronique (courriel). Les présentes Conditions Générales de Vente sont applicables aux ventes réalisées au moyen du site Internet de CABRILOG SAS.

Définitions

Société : la société CABRILOG SAS
Site Internet : le site Internet https://cabri.com de la Société.
Client : Toute personne physique ou morale qui commande un ou des Produits de la Société dans le cadre de son activité professionnelle ou non.
Produit / Produits : la ou les licences d’utilisation de logiciels proposées à la vente sur le Site Internet de la Société.
Conditions Générales : l’ensemble des stipulations composant les présentes conditions générales de vente qui s’appliquent à toute commande passée auprès de la Société.
Version Boite : Produit livré dans une boîte contenant un (1) CD-ROM avec tous les fichiers du logiciel dont la licence d’utilisation est cédée.
Version Electronique : Produit livré sous forme d’un fichier téléchargeable via le Site Internet.

Opposabilité des Conditions Générales

Le fait de passer commande implique l’adhésion entière et sans réserve du Client à ces Conditions Générales. Toute condition contraire posée par le Client sera, à défaut d’acceptation expresse, inopposable à la Société quelque soit le moment où elle aura pu être portée à sa connaissance.
Le fait pour la Société de ne pas se prévaloir à un moment donné de l’une quelconque des présentes Conditions Générales, ne peut être interprété comme valant renonciation à se prévaloir ultérieurement de l’une quelconque des dites conditions.
La Société se réserve la possibilité d’adapter ou de modifier les Conditions Générales.
En cas de modification il sera appliqué à chaque commande les Conditions Générales en vigueur au jour de la commande.

Capacité juridique

Le Client déclare avoir la capacité de conclure le présent contrat, dont les Conditions Générales sont présentées ci-après, c’est à dire pour les personnes physiques avoir la majorité légale et ne pas être sous tutelle ou curatelle.

Choix des Produits

Le Client est seul maître du choix du Produit et de son adéquation à ses besoins. La Société n’assume aucune responsabilité de ce fait. Il incombe au Client de solliciter auprès de la Société toutes informations et renseignements complémentaires sur les caractéristiques du Produit ou son utilisation. Le Client après avoir pris connaissance des Produits commercialisés par la Société et vérifié leur compatibilité, en fonction de ses autres équipements (matériels, logiciels, configurations, etc.) et de ses besoins tels qu’il les a déterminés, enregistre sa commande sous sa propre responsabilité. La Société ne pourra en aucun cas être tenue pour responsable des dommages directs ou indirects, de quelque nature que ce soit, liés à l’utilisation ou à l’impossibilité d’utilisation du Produit vendu.
Le Client peut choisir de commander le Produit en Version Boite et/ou en Version Electronique.

Commande – Formation du contrat

Il est prévu, lors de l’enregistrement de la commande passée sur le Site Internet, l’affichage d’une page «Confirmation» permettant au Client de vérifier/modifier le détail de sa commande et le prix total.
Le Client confirme la commande par un clic sur le bouton «Confirmer la commande» en pied de page. Il a alors accès à la page du Site Internet par laquelle il pourra confirmer définitivement sa commande en effectuant le paiement.
Après paiement, le Client reçoit de la part de Cabrilog, une attestation d’enregistrement de sa commande (par courriel). Nous recommandons au Client de garder une copie de ce courriel comme preuve de sa commande.

Prix, paiement et facturation

Les prix sont indiqués et facturés comme suit :
– prix des Produits en €uro hors taxe
– frais de port hors taxe
– montant de la TVA
– montant TTC de la commande.

La Société se réserve le droit de modifier ses prix à tout moment et s’engage à appliquer les tarifs en vigueur au moment de la commande du Client.
Tout changement de taux de TVA sera répercuté sur le prix TTC des Produits.

Pour tous les Produits expédiés hors Union Européenne le prix sera calculé hors taxe sur la facture. Chaque client est responsable de la déclaration et du paiement de la TVA, des droits de douane, taxes locales, droits d’importation ou autres taxes d’état exigibles dans son pays. Ces droits et sommes ne relèvent pas du ressort de la Société.
Le mode de paiement accepté pour les ventes réalisées sur le Site Internet est la carte bancaire.
Pour les commandes de Version Boîte, la facture est livrée au Client avec le produit.
Pour les commandes de Version Electronique, la confirmation de commande reçue par courriel fait office de facture.

Frais de port et délais de livraison

Les Produits commandés en Version Boite seront livrés à l’adresse indiquée par le Client au cours du processus de commande, dans les 20 jours suivant le paiement de la commande.
Le délai indiqué ci-dessus est un délai moyen fonction de la destination, du mode d’expédition et de la disponibilité du Produit. Les dépassements de délai de livraison ne peuvent donner lieu à dommages et intérêts. La Société se réserve le choix du transporteur et garantit le bon acheminement des Produits. Les frais de port sont facturés au client sur la facture de la Société.

Zone géographique de livraison

La Société livre les Produits en Version Boîte dans tous les pays desservis par les transporteurs internationaux. La Société livre les Produits en Version Electronique partout où le réseau permet le téléchargement complet de ses fichiers.

Vérification des Produits livrés en Version Boite

Il appartient au Client de vérifier l’état de l’emballage et la conformité à la commande passée du Produit livré en Version Boite. Toute réclamation sur les vices apparents ou sur la non conformité du Produit livré en Version Boite devra être signalée par le Client dans les cinq (5) jours ouvrables à compter de la date de réception du Produit par le Client, en envoyant :
– soit un courriel à : ventes@cabri.com
– soit une lettre recommandée avec Avis de Réception à la Société à l’adresse suivante : CABRILOG, 122 avenue du Vercors 38600 Fontaine – FRANCE. La date du cachet de la Poste fait foi.

A défaut de réclamation effectuée dans le délai précité, les Produits livrés en Version Boite seront réputés conformes et acceptés par le Client.Aucun Produit ne pourra être échangé avant d’avoir été réexpédié et réceptionné par la Société, en bon état, tel que livré par les soins de la Société. En particulier le Produit ne devra pas avoir été descellé.

Délai de rétractation

Le délai de rétractation accordé au Client sur l’achat de biens, dans le cadre de la loi, est de sept (7) jours francs, à compter de la date de réception de sa commande. Durant ce délai, le Client peut retourner, à ses frais, sans autres pénalités, le ou les Produits ne lui convenant pas. Le Client pourra alors choisir entre, d’une part, le remboursement des sommes versées en contrepartie de la réexpédition du ou des Produits et d’autre part, l’échange du ou des Produits commandés. CABRILOG SAS is engaged in the design, development, editing, distribution and maintenance of « dynamic geometry » software, based on Cabri technology and designed for teaching and training purposes.
CABRILOG SAS sells the user licences for its software, via Internet, facsimile, post or electronic mail.
These General Terms of Sale are applicable to sales made via CABRILOG SAS’s Internet site.

Definitions

Company: the company CABRILOG SAS
Internet Site: the Company’s Internet site www.cabri.com.
Client: Any natural persons or legal entities who order one or more of the Company’s Products whether or not in connection with their professional activity.
Product / Products: the user licence or licences offered for sale on the Company’s Internet Site.
General Terms: all the provisions comprising these general terms of sale which apply to any order placed with the Company.
Box Format: Product supplied in a box containing one (1) CD-ROM with all the files for the software for which the user licence is sold.
Electronic Format: Product supplied in the form of a file that can be downloaded from the Internet Site.

Opposability of the General Terms

The fact of placing an order implies the Client’s full and unconditional acceptance of these General Terms. Any conflicting condition laid down by the Client, unless expressly accepted, shall not be opposable to the Company regardless of the time at which the Company may have been informed of such condition. The fact that the Company does not at any given time enforce any one of these General Terms shall not be construed as waiving the right to subsequently enforce any one of the said terms. The Company reserves the right to adapt or modify the General Terms. In the event of modification, the General Terms applied to any order shall be the General Terms in force on the day on which the order is placed.

Legal capacity

The Client declares that it possesses the capacity to enter into the present contract, the General Terms of which are presented hereafter, that is to say, for natural persons, that he/she is of legal age and not under guardianship or trusteeship.

Choice of the Products

The Company shall not under any circumstances be held responsible for any direct or indirect damage, of any nature whatsoever, related to the use of or impossibility to use the Product sold. The Client can choose to order the Product in Box Format and/or in Electronic Format.

Order – Formation of the contract

At the time of the recording of the order placed on the Internet Site, a page entitled «Confirmation » is displayed enabling the Client to verify/change the details of its order and verify the total price. The Client confirms the order by clicking the « Confirm the order » button at the bottom of the page. This gives access to the Internet Site page where the order can be definitively confirmed through payment. After payment, the Client receives confirmation of the recording of its order from the Company (by e‑mail). We advise the Client to keep a copy of this e‑mail as proof of its order.

Price, payment and invoicing

The prices are quoted and invoiced as follows:
– prices of the Products in euros excluding VAT
– carriage charges excluding VAT
– VAT amount
– order amount including VAT.

The Company reserves the right to change its prices at any time and undertakes to charge the prices in force at the time of the Client’s order. Any change in the VAT rate will be passed on to the Product price including VAT. In the case of Products supplied to a Client outside the European Union, the price stated on the invoice will be calculated excluding VAT. Each Client is responsible for declaring and paying the VAT, customs duties, local taxes, import duties or other state tax payable in its own country. These duties and sums are not the responsibility of the Company. Orders placed via the Internet Site are payable by credit card. For Box Format orders, the invoice is sent to the Client with the Product. For Electronic Format orders, the confirmation mail serves as invoice.

Carriage charges and delivery times

The Products ordered in Box Format will be delivered to the address given by the Client during the order process, within twenty 20 days following the payment of the order. The delivery time given above is an average time depending on the destination, the method of delivery and the availability of the Product. The Company shall not be liable for the payment of any damages in the event of the above time being exceeded. The Company reserves the right to choose the carrier and guarantees the delivery of the Products. The Company will invoice the Client for the carriage charges.

Geographical zone of delivery

The Company delivers the Products in Box Format to all countries served by the international postal services. The Company delivers the Product in Electronic Format anywhere where the full downloading of the files is possible via the network.

Verification of the Products in Box Format

It is up to the Client to verify the state of the packaging of the Products supplied in Box Format and to make sure that they conform to the order placed. The Client must report any conspicuous defect or the non conformity of the Products supplied in Box Format within five (5) working days from the date of the Client’s receipt of the Products:
– either by e mail to: sales@cabri.com
– or by recorded delivery letter with acknowledgement of receipt requested sent to the following address: CABRILOG, 122 avenue du Vercors, 38600 Fontaine – FRANCE. The date of postmark shall be proof of dispatch date.

If no claim is made within the above mentioned time limit, the Products supplied in Box Format shall be deemed to conform to the order and to have been accepted by the Client. No Product shall be exchanged before having been returned to the Company and accepted by the latter, in good condition, in the same state as dispatched by the Company. In particular, the Product must not have been unsealed.

Cancellation time

In accordance with the law, the Client is allowed seven (7) clear days, as from the date of receipt of its order, in which to cancel its order. During that time, the Client may, at its own expense and without any penalties, return any Product or Products that it does not find suitable. The Client may then choose between either returning the Product or Products and being reimbursed for the amount paid, or exchanging the Product or Products ordered. It is understood that the Product or Products returned at the expense of the Client must be in good condition, in the state as supplied by the Company.

Due to their duplicable nature, the software must be returned sealed or in its original packaging. Failing that, no exchange or reimbursement shall be made, unless the Client has proved that the Product contains a defect as specified by the article “Legal guarantee and after sale service” of these General Terms. Product returns must necessarily be made to the postal address given in the article “Legal guarantee and after sale service”.

Legal guarantee and after sale service

In accordance with articles 1641 et sqq of the French Civil Code, the Client shall be covered by the statutory guarantee against concealed defects. Thus, in the event of a manufacturing defect in the Product making it unfit for the use for which it was intended, the Client may apply to the Company’s after sale service:
– either by sending an e mail to: sales@cabri.com
– or by sending a recorded delivery letter with acknowledgement of receipt requested to the Company at the following address: CABRILOG,122 avenue du Vercors, 38600 Fontaine – FRANCE.

The Client will then have the option of choosing between returning the Product and being reimbursed for the price, or keeping the Product and being reimbursed for part of the price. If the Client chooses to return the Product, the cost of the return will be paid by the Company on the basis of the original method of delivery. The Client acknowledges that the Company has duly fulfilled its obligation of information.

Transaction security

Payment for purchases on line shall be made by credit card via the site of the Société Générale by means of automatic forwarding from the Internet Site to the site of the Société Générale. In this way, no bank details concerning the Client transit via the Company. So as to optimise the security of the transactions on Internet, a Secure Socket Layer (SSL) on line payment system encrypts the Client’s credit card details.
NB: in the event of the Client using a browser that is not compatible with the SSL system, the transaction will not be possible.

Right of title

The Company retains full ownership of the Products sold until full and complete payment of the price, including charges and taxes. The mere presentation of an order to pay shall not constitute payment. The above provisions shall not debar the transfer to the Client of the risks of loss of or damage. Should the Client fail to pay the full price, including charges and taxes, the Company shall be entitled to demand the return of the goods delivered. Any expenses incurred in such returns shall be payable by the Client.

Software, guarantees and obligations

The software for which the user licence is sold on the Internet Site is guaranteed by its author, in accordance with the terms laid down in its documentation. The Company cannot give any guarantee whatever on the software and in particular on any defects or bugs. After complete payment of the price, and except for any contradicting clauses included in the licence attached to the Product, the Client shall be granted a non transferable personal user licence for the software for an unlimited time exclusive of any right of ownership. In accordance with the legal and statutory provisions in force, the Client shall refrain from copying the software other than as authorized by law and from performing any act liable to undermine the rights of the authors, their assignees or the Company.

The use of the Product is subject to the Client’s prior acceptance of the text of the user licence attached to the Product in paper format in the case of the Box Format and in the form of a computer file in the case of the Electronic Format.

By express agreement, the installation of the software on a computer shall constitute unconditional acceptance of the attached user licence.

Nominative information

In accordance with law no. 78 17 of 6 January 1978 relative to data processing and freedom, the information requested from the Client is necessary for the processing of the Client’s order and is solely for the use of the Company. The Client has right of access to the information concerning it. Upon request, this information can be communicated to the Client and, in the event of error or of modification, can be rectified. The Client can also prevent the communication of this information to any third party by making a request to the Company in writing.

Force majeure

The Company disclaims all responsibility for any failure to fulfil its contractual obligations in the event of a force majeure or chance event, including, but not limited to, disasters, fires, strikes within or outside the Company, failures or breakdowns within or outside the Company, and in general any event preventing the satisfactory execution of the orders.

Entire rights and obligations

The General Terms and related headings (order, security, payment, delivery, guarantee, after sale service) constitute the entire rights and obligations of the Company and of the Client concerning the orders of Products on the Internet Site. No general or special term communicated by the Client shall be integrated into the General Terms. If one of the clauses of the General Terms is declared to be illegal, invalid or unenforceable by a court for any reason whatsoever, this clause shall be deemed to be dissociated from the other clauses and shall in no way affect the validity or opposability of the other clauses.

If no claim is made within the above mentioned time limit, the Products supplied in Box Format shall be deemed to conform to the order and to have been accepted by the Client. No Product shall be exchanged before having been returned to the Company and accepted by the latter, in good condition, in the same state as dispatched by the Company. In particular, the Product must not have been unsealed.

Cancellation time

In accordance with the law, the Client is allowed seven (7) clear days, as from the date of receipt of its order, in which to cancel its order. During that time, the Client may, at its own expense and without any penalties, return any Product or Products that it does not find suitable. The Client may then choose between either returning the Product or Products and being reimbursed for the amount paid, or exchanging the Product or Products ordered. It is understood that the Product or Products returned at the expense of the Client must be in good condition, in the state as supplied by the Company.

Due to their duplicable nature, the software must be returned sealed or in its original packaging. If the Client chooses to return the Product, the cost of the return will be paid by the Company on the basis of the original method of delivery. The Client acknowledges that the Company has duly fulfilled its obligation of information.

Transaction security

Payment for purchases on line shall be made by credit card via the site of the Société Générale by means of automatic forwarding from the Internet Site to the site of the Société Générale. In this way, no bank details concerning the Client transit via the Company. So as to optimise the security of the transactions on Internet, a Secure Socket Layer (SSL) on line payment system encrypts the Client’s credit card details.
NB: in the event of the Client using a browser that is not compatible with the SSL system, the transaction will not be possible.

Right of title

The Company retains full ownership of the Products sold until full and complete payment of the price, including charges and taxes. The mere presentation of an order to pay shall not constitute payment. The above provisions shall not debar the transfer to the Client of the risks of loss of or damage. Should the Client fail to pay the full price, including charges and taxes, the Company shall be entitled to demand the return of the goods delivered. Any expenses incurred in such returns shall be payable by the Client.

Software, guarantees and obligations

The software for which the user licence is sold on the Internet Site is guaranteed by its author, in accordance with the terms laid down in its documentation. After complete payment of the price, and except for any contradicting clauses included in the licence attached to the Product, the Client shall be granted a non transferable personal user licence for the software for an unlimited time exclusive of any right of ownership. The use of the Product is subject to the Client’s prior acceptance of the text of the user licence attached to the Product in paper format in the case of the Box Format and in the form of a computer file in the case of the Electronic Format.

By express agreement, the installation of the software on a computer shall constitute unconditional acceptance of the attached user licence.

Nominative information

In accordance with law no. 78 17 of 6 January 1978 relative to data processing and freedom, the information requested from the Client is necessary for the processing of the Client’s order and is solely for the use of the Company. The Client has right of access to the information concerning it. Upon request, this information can be communicated to the Client and, in the event of error or of modification, can be rectified. The Client can also prevent the communication of this information to any third party by making a request to the Company in writing.

Force majeure

The Company disclaims all responsibility for any failure to fulfil its contractual obligations in the event of a force majeure or chance event, including, but not limited to, disasters, fires, strikes within or outside the Company, failures or breakdowns within or outside the Company, and in general any event preventing the satisfactory execution of the orders.

Preamble

CABRILOG SAS is engaged in the design, development, editing, distribution and maintenance of « dynamic geometry » software, based on Cabri technology and designed for teaching and training purposes.
CABRILOG SAS sells the user licences for its software, via Internet, facsimile, post or electronic mail.
These General Terms of Sale are applicable to sales made via CABRILOG SAS’s Internet site.

Definitions

Company: the company CABRILOG SAS
Internet Site: the Company’s Internet site www.cabri.com.
Client: Any natural persons or legal entities who order one or more of the Company’s Products whether or not in connection with their professional activity.

Box Format: Product supplied in a box containing one (1) CD-ROM with all the files for the software for which the user licence is sold.

The fact of placing an order implies the Client’s full and unconditional acceptance of these General Terms. Any conflicting condition laid down by the Client, unless expressly accepted, shall not be opposable to the Company regardless of the time at which the Company may have been informed of such condition. The fact that the Company does not at any given time enforce any one of these General Terms shall not be construed as waiving the right to subsequently enforce any one of the said terms. The Company reserves the right to adapt or modify the General Terms. In the event of modification, the General Terms applied to any order shall be the General Terms in force on the day on which the order is placed.

Legal capacity

The Client declares that it possesses the capacity to enter into the present contract, the General Terms of which are presented hereafter, that is to say, for natural persons, that he/she is of legal age and not under guardianship or trusteeship.

Choice of the Products

Choice of the Products The Client is alone responsible for the choice of the Product and its appropriateness for the Client’s needs. The Company assumes no responsibility in this respect. After the Client has obtained information on the Products marketed by the Company and verified that they are compatible with the Client’s other equipment (hardware, software, configurations, etc.) and with the needs that it has determined, the Client records its order under its own responsibility. The Company shall not under any circumstances be held responsible for any direct or indirect damage, of any nature whatsoever, related to the use of or impossibility to use the Product sold. The Client can choose to order the Product in Box Format and/or in Electronic Format.

Order – Formation of the contract

At the time of the recording of the order placed on the Internet Site, a page entitled «Confirmation » is displayed enabling the Client to verify/change the details of its order and verify the total price. The Client confirms the order by clicking the « Confirm the order » button at the bottom of the page. This gives access to the Internet Site page where the order can be definitively confirmed through payment. After payment, the Client receives confirmation of the recording of its order from the Company (by e‑mail). We advise the Client to keep a copy of this e‑mail as proof of its order.

Price, payment and invoicing

The prices are quoted and invoiced as follows:
– prices of the Products in euros excluding VAT
– carriage charges excluding VAT
– VAT amount
– order amount including VAT.

The Company reserves the right to change its prices at any time and undertakes to charge the prices in force at the time of the Client’s order. Any change in the VAT rate will be passed on to the Product price including VAT. In the case of Products supplied to a Client outside the European Union, the price stated on the invoice will be calculated excluding VAT. Each Client is responsible for declaring and paying the VAT, customs duties, local taxes, import duties or other state tax payable in its own country. These duties and sums are not the responsibility of the Company. Orders placed via the Internet Site are payable by credit card. For Box Format orders, the invoice is sent to the Client with the Product. For Electronic Format orders, the confirmation mail serves as invoice.

Carriage charges and delivery times

The Products ordered in Box Format will be delivered to the address given by the Client during the order process, within twenty 20 days following the payment of the order. The delivery time given above is an average time depending on the destination, the method of delivery and the availability of the Product. The Company shall not be liable for the payment of any damages in the event of the above time being exceeded. The Company reserves the right to choose the carrier and guarantees the delivery of the Products. The Company will invoice the Client for the carriage charges.

Geographical zone of delivery

The Company delivers the Products in Box Format to all countries served by the international postal services. The Company delivers the Product in Electronic Format anywhere where the full downloading of the files is possible via the network.

Verification of the Products in Box Format

It is up to the Client to verify the state of the packaging of the Products supplied in Box Format and to make sure that they conform to the order placed. The Client must report any conspicuous defect or the non conformity of the Products supplied in Box Format within five (5) working days from the date of the Client’s receipt of the Products:

CABRILOG SAS sells the user licences for its software, via Internet, facsimile, post or electronic mail.
These General Terms of Sale are applicable to sales made via CABRILOG SAS’s Internet site.

Definitions

Company: the company CABRILOG SAS
Internet Site: the Company’s Internet site www.cabri.com.
Client: Any natural persons or legal entities who order one or more of the Company’s Products whether or not in connection with their professional activity.
Product / Products: the user licence or licences offered for sale on the Company’s Internet Site.
General Terms: all the provisions comprising these general terms of sale which apply to any order placed with the Company.
Box Format: Product supplied in a box containing one (1) CD-ROM with all the files for the software for which the user licence is sold.
Electronic Format: Product supplied in the form of a file that can be downloaded from the Internet Site.

Opposability of the General Terms

The fact of placing an order implies the Client’s full and unconditional acceptance of these General Terms. Any conflicting condition laid down by the Client, unless expressly accepted, shall not be opposable to the Company regardless of the time at which the Company may have been informed of such condition. The fact that the Company does not at any given time enforce any one of these General Terms shall not be construed as waiving the right to subsequently enforce any one of the said terms. The Company reserves the right to adapt or modify the General Terms. In the event of modification, the General Terms applied to any order shall be the General Terms in force on the day on which the order is placed.

Legal capacity

The Client declares that it possesses the capacity to enter into the present contract, the General Terms of which are presented hereafter, that is to say, for natural persons, that he/she is of legal age and not under guardianship or trusteeship.

Choice of the Products

Choice of the Products The Client is alone responsible for the choice of the Product and its appropriateness for the Client’s needs. The Company assumes no responsibility in this respect. After the Client has obtained information on the Products marketed by the Company and verified that they are compatible with the Client’s other equipment (hardware, software, configurations, etc.) and with the needs that it has determined, the Client records its order under its own responsibility. The Company shall not under any circumstances be held responsible for any direct or indirect damage, of any nature whatsoever, related to the use of or impossibility to use the Product sold. The Client can choose to order the Product in Box Format and/or in Electronic Format.

Order – Formation of the contract

At the time of the recording of the order placed on the Internet Site, a page entitled «Confirmation » is displayed enabling the Client to verify/change the details of its order and verify the total price. The Client confirms the order by clicking the « Confirm the order » button at the bottom of the page. This gives access to the Internet Site page where the order can be definitively confirmed through payment. After payment, the Client receives confirmation of the recording of its order from the Company (by e‑mail). We advise the Client to keep a copy of this e‑mail as proof of its order.

Price, payment and invoicing

The prices are quoted and invoiced as follows:
– prices of the Products in euros excluding VAT
– carriage charges excluding VAT
– VAT amount
– order amount including VAT.

The Company reserves the right to change its prices at any time and undertakes to charge the prices in force at the time of the Client’s order. Any change in the VAT rate will be passed on to the Product price including VAT. In the case of Products supplied to a Client outside the European Union, the price stated on the invoice will be calculated excluding VAT. Each Client is responsible for declaring and paying the VAT, customs duties, local taxes, import duties or other state tax payable in its own country. These duties and sums are not the responsibility of the Company. Orders placed via the Internet Site are payable by credit card. For Box Format orders, the invoice is sent to the Client with the Product. For Electronic Format orders, the confirmation mail serves as invoice.

Carriage charges and delivery times

The Products ordered in Box Format will be delivered to the address given by the Client during the order process, within twenty 20 days following the payment of the order. The delivery time given above is an average time depending on the destination, the method of delivery and the availability of the Product. The Company shall not be liable for the payment of any damages in the event of the above time being exceeded. The Company reserves the right to choose the carrier and guarantees the delivery of the Products. The Company will invoice the Client for the carriage charges.

Geographical zone of delivery

The Company delivers the Products in Box Format to all countries served by the international postal services. The Company delivers the Product in Electronic Format anywhere where the full downloading of the files is possible via the network.

Verification of the Products in Box Format

It is up to the Client to verify the state of the packaging of the Products supplied in Box Format and to make sure that they conform to the order placed. The Client must report any conspicuous defect or the non conformity of the Products supplied in Box Format within five (5) working days from the date of the Client’s receipt of the Products:
– either by e mail to: sales@cabri.com
– or by recorded delivery letter with acknowledgement of receipt requested sent to the following address: CABRILOG, 122 avenue du Vercors, 38600 Fontaine – FRANCE. The date of postmark shall be proof of dispatch date.

If no claim is made within the above mentioned time limit, the Products supplied in Box Format shall be deemed to conform to the order and to have been accepted by the Client. No Product shall be exchanged before having been returned to the Company and accepted by the latter, in good condition, in the same state as dispatched by the Company. In particular, the Product must not have been unsealed.

Cancellation time

In accordance with the law, the Client is allowed seven (7) clear days, as from the date of receipt of its order, in which to cancel its order. During that time, the Client may, at its own expense and without any penalties, return any Product or Products that it does not find suitable. The Client may then choose between either returning the Product or Products and being reimbursed for the amount paid, or exchanging the Product or Products ordered. It is understood that the Product or Products returned at the expense of the Client must be in good condition, in the state as supplied by the Company.

Due to their duplicable nature, the software must be returned sealed or in its original packaging. Failing that, no exchange or reimbursement shall be made, unless the Client has proved that the Product contains a defect as specified by the article “Legal guarantee and after sale service” of these General Terms. Product returns must necessarily be made to the postal address given in the article “Legal guarantee and after sale service”.

Legal guarantee and after sale service

In accordance with articles 1641 et sqq of the French Civil Code, the Client shall be covered by the statutory guarantee against concealed defects. Thus, in the event of a manufacturing defect in the Product making it unfit for the use for which it was intended, the Client may apply to the Company’s after sale service:

– or by sending a recorded delivery letter with acknowledgement of receipt requested to the Company at the following address: CABRILOG,122 avenue du Vercors, 38600 Fontaine – FRANCE.

The Client will then have the option of choosing between returning the Product and being reimbursed for the price, or keeping the Product and being reimbursed for part of the price. If the Client chooses to return the Product, the cost of the return will be paid by the Company on the basis of the original method of delivery. The Client acknowledges that the Company has duly fulfilled its obligation of information.

Transaction security

Payment for purchases on line shall be made by credit card via the site of the Société Générale by means of automatic forwarding from the Internet Site to the site of the Société Générale. In this way, no bank details concerning the Client transit via the Company. So as to optimise the security of the transactions on Internet, a Secure Socket Layer (SSL) on line payment system encrypts the Client’s credit card details.
NB: in the event of the Client using a browser that is not compatible with the SSL system, the transaction will not be possible.

Right of title

The Company retains full ownership of the Products sold until full and complete payment of the price, including charges and taxes. The mere presentation of an order to pay shall not constitute payment. The above provisions shall not debar the transfer to the Client of the risks of loss of or damage. Should the Client fail to pay the full price, including charges and taxes, the Company shall be entitled to demand the return of the goods delivered. Any expenses incurred in such returns shall be payable by the Client.

Software, guarantees and obligations

The software for which the user licence is sold on the Internet Site is guaranteed by its author, in accordance with the terms laid down in its documentation. The Company cannot give any guarantee whatever on the software and in particular on any defects or bugs. After complete payment of the price, and except for any contradicting clauses included in the licence attached to the Product, the Client shall be granted a non transferable personal user licence for the software for an unlimited time exclusive of any right of ownership. In accordance with the legal and statutory provisions in force, the Client shall refrain from copying the software other than as authorized by law and from performing any act liable to undermine the rights of the authors, their assignees or the Company.

The use of the Product is subject to the Client’s prior acceptance of the text of the user licence attached to the Product in paper format in the case of the Box Format and in the form of a computer file in the case of the Electronic Format.

By express agreement, the installation of the software on a computer shall constitute unconditional acceptance of the attached user licence.

Nominative information

In accordance with law no. 78 17 of 6 January 1978 relative to data processing and freedom, the information requested from the Client is necessary for the processing of the Client’s order and is solely for the use of the Company. The Client has right of access to the information concerning it. Upon request, this information can be communicated to the Client and, in the event of error or of modification, can be rectified. The Client can also prevent the communication of this information to any third party by making a request to the Company in writing.

Force majeure

The Company disclaims all responsibility for any failure to fulfil its contractual obligations in the event of a force majeure or chance event, including, but not limited to, disasters, fires, strikes within or outside the Company, failures or breakdowns within or outside the Company, and in general any event preventing the satisfactory execution of the orders.

Entire rights and obligations

The General Terms and related headings (order, security, payment, delivery, guarantee, after sale service) constitute the entire rights and obligations of the Company and of the Client concerning the orders of Products on the Internet Site. If one of the clauses of the General Terms is declared to be illegal, invalid or unenforceable by a court for any reason whatsoever, this clause shall be deemed to be dissociated from the other clauses and shall in no way affect the validity or opposability of the other clauses.

No general or special term communicated by the Client shall be integrated into the General Terms. If one of the clauses of the General Terms is declared to be illegal, invalid or unenforceable by a court for any reason whatsoever, this clause shall be deemed to be dissociated from the other clauses and shall in no way affect the validity or opposability of the other clauses.

Applicable law – Litigation

The General Terms shall be governed by French law. In the event of any dispute in connection with the interpretation or performance of any of the provisions of the General Terms and should the Company and the Client fail to come to an amicable agreement, the dispute shall be referred to the French courts.

GENERAL TERMS OF SALE

Preamble

CABRILOG SAS is engaged in the design, development, editing, distribution and maintenance of « dynamic geometry » software, based on Cabri technology and designed for teaching and training purposes.
CABRILOG SAS sells the user licences for its software, via Internet, facsimile, post or electronic mail.
These General Terms of Sale are applicable to sales made via CABRILOG SAS’s Internet site.

Definitions

Company: the company CABRILOG SAS
Internet Site: the Company’s Internet site www.cabri.com.
Client: Any natural persons or legal entities who order one or more of the Company’s Products whether or not in connection with their professional activity.
Product / Products: the user licence or licences offered for sale on the Company’s Internet Site.
General Terms: all the provisions comprising these general terms of sale which apply to any order placed with the Company.
Box Format: Product supplied in a box containing one (1) CD-ROM with all the files for the software for which the user licence is sold.
Electronic Format: Product supplied in the form of a file that can be downloaded from the Internet Site.

Opposability of the General Terms

The fact of placing an order implies the Client’s full and unconditional acceptance of these General Terms. Any conflicting condition laid down by the Client, unless expressly accepted, shall not be opposable to the Company regardless of the time at which the Company may have been informed of such condition. The fact that the Company does not at any given time enforce any one of these General Terms shall not be construed as waiving the right to subsequently enforce any one of the said terms. The Company reserves the right to adapt or modify the General Terms. In the event of modification, the General Terms applied to any order shall be the General Terms in force on the day on which the order is placed.

Legal capacity

The Client declares that it possesses the capacity to enter into the present contract, the General Terms of which are presented hereafter, that is to say, for natural persons, that he/she is of legal age and not under guardianship or trusteeship.

Choice of the Products

The Client declares that it possesses the capacity to enter into the present contract, the General Terms of which are presented hereafter, that is to say, for natural persons, that he/she is of legal age and not under guardianship or trusteeship. Choice of the Products The Client is alone responsible for the choice of the Product and its appropriateness for the Client’s needs. The Company assumes no responsibility in this respect. It is incumbent upon the Client to ask the Company for any additional information and details concerning the characteristics of the Product or its use. After the Client has obtained information on the Products marketed by the Company and verified that they are compatible with the Client’s other equipment (hardware, software, configurations, etc.) and with the needs that it has determined, the Client records its order under its own responsibility. The Company shall not under any circumstances be held responsible for any direct or indirect damage, of any nature whatsoever, related to the use of or impossibility to use the Product sold. The Client can choose to order the Product in Box Format and/or in Electronic Format.

Order – Formation of the contract

At the time of the recording of the order placed on the Internet Site, a page entitled «Confirmation » is displayed enabling the Client to verify/change the details of its order and verify the total price. The Client confirms the order by clicking the « Confirm the order » button at the bottom of the page. This gives access to the Internet Site page where the order can be definitively confirmed through payment. After payment, the Client receives confirmation of the recording of its order from the Company (by e‑mail). We advise the Client to keep a copy of this e‑mail as proof of its order.

Price, payment and invoicing

The prices are quoted and invoiced as follows:
– prices of the Products in euros excluding VAT
– carriage charges excluding VAT
– VAT amount
– order amount including VAT.

The Company reserves the right to change its prices at any time and undertakes to charge the prices in force at the time of the Client’s order. Any change in the VAT rate will be passed on to the Product price including VAT. In the case of Products supplied to a Client outside the European Union, the price stated on the invoice will be calculated excluding VAT. Each Client is responsible for declaring and paying the VAT, customs duties, local taxes, import duties or other state tax payable in its own country. These duties and sums are not the responsibility of the Company. Orders placed via the Internet Site are payable by credit card. For Box Format orders, the invoice is sent to the Client with the Product. For Electronic Format orders, the confirmation mail serves as invoice.

Carriage charges and delivery times

The Products ordered in Box Format will be delivered to the address given by the Client during the order process, within twenty 20 days following the payment of the order. The delivery time given above is an average time depending on the destination, the method of delivery and the availability of the Product. The Company shall not be liable for the payment of any damages in the event of the above time being exceeded. The Company reserves the right to choose the carrier and guarantees the delivery of the Products. The Company will invoice the Client for the carriage charges.

Geographical zone of delivery

The Company delivers the Products in Box Format to all countries served by the international postal services. The Company delivers the Product in Electronic Format anywhere where the full downloading of the files is possible via the network.

Verification of the Products in Box Format

It is up to the Client to verify the state of the packaging of the Products supplied in Box Format and to make sure that they conform to the order placed. The Client must report any conspicuous defect or the non conformity of the Products supplied in Box Format within five (5) working days from the date of the Client’s receipt of the Products:
– either by e mail to: sales@cabri.com
– or by recorded delivery letter with acknowledgement of receipt requested sent to the following address: CABRILOG, 122 avenue du Vercors, 38600 Fontaine – FRANCE. The date of postmark shall be proof of dispatch date.

If no claim is made within the above mentioned time limit, the Products supplied in Box Format shall be deemed to conform to the order and to have been accepted by the Client. No Product shall be exchanged before having been returned to the Company and accepted by the latter, in good condition, in the same state as dispatched by the Company. In particular, the Product must not have been unsealed.

Cancellation time

In accordance with the law, the Client is allowed seven (7) clear days, as from the date of receipt of its order, in which to cancel its order. During that time, the Client may, at its own expense and without any penalties, return any Product or Products that it does not find suitable. The Client may then choose between either returning the Product or Products and being reimbursed for the amount paid, or exchanging the Product or Products ordered. It is understood that the Product or Products returned at the expense of the Client must be in good condition, in the state as supplied by the Company.

Due to their duplicable nature, the software must be returned sealed or in its original packaging. Failing that, no exchange or reimbursement shall be made, unless the Client has proved that the Product contains a defect as specified by the article “Legal guarantee and after sale service” of these General Terms. Product returns must necessarily be made to the postal address given in the article “Legal guarantee and after sale service”.

Legal guarantee and after sale service

In accordance with articles 1641 et sqq of the French Civil Code, the Client shall be covered by the statutory guarantee against concealed defects. Thus, in the event of a manufacturing defect in the Product making it unfit for the use for which it was intended, the Client may apply to the Company’s after sale service:
– either by sending an e mail to: sales@cabri.com
– or by sending a recorded delivery letter with acknowledgement of receipt requested to the Company at the following address: CABRILOG,122 avenue du Vercors, 38600 Fontaine – FRANCE.

The Client will then have the option of choosing between returning the Product and being reimbursed for the price, or keeping the Product and being reimbursed for part of the price. If the Client chooses to return the Product, the cost of the return will be paid by the Company on the basis of the original method of delivery. The Client acknowledges that the Company has duly fulfilled its obligation of information.

Transaction security

Payment for purchases on line shall be made by credit card via the site of the Société Générale by means of automatic forwarding from the Internet Site to the site of the Société Générale. In this way, no bank details concerning the Client transit via the Company. So as to optimise the security of the transactions on Internet, a Secure Socket Layer (SSL) on line payment system encrypts the Client’s credit card details.
NB: in the event of the Client using a browser that is not compatible with the SSL system, the transaction will not be possible.

Right of title

The Company retains full ownership of the Products sold until full and complete payment of the price, including charges and taxes. The mere presentation of an order to pay shall not constitute payment. The above provisions shall not debar the transfer to the Client of the risks of loss of or damage. Should the Client fail to pay the full price, including charges and taxes, the Company shall be entitled to demand the return of the goods delivered. Any expenses incurred in such returns shall be payable by the Client.

Software, guarantees and obligations

The software for which the user licence is sold on the Internet Site is guaranteed by its author, in accordance with the terms laid down in its documentation. The Company cannot give any guarantee whatever on the software and in particular on any defects or bugs. After complete payment of the price, and except for any contradicting clauses included in the licence attached to the Product, the Client shall be granted a non transferable personal user licence for the software for an unlimited time exclusive of any right of ownership. In accordance with the legal and statutory provisions in force, the Client shall refrain from copying the software other than as authorized by law and from performing any act liable to undermine the rights of the authors, their assignees or the Company.

The use of the Product is subject to the Client’s prior acceptance of the text of the user licence attached to the Product in paper format in the case of the Box Format and in the form of a computer file in the case of the Electronic Format.

By express agreement, the installation of the software on a computer shall constitute unconditional acceptance of the attached user licence.

Nominative information

In accordance with law no. 78 17 of 6 January 1978 relative to data processing and freedom, the information requested from the Client is necessary for the processing of the Client’s order and is solely for the use of the Company. The Client has right of access to the information concerning it. Upon request, this information can be communicated to the Client and, in the event of error or of modification, can be rectified. The Client can also prevent the communication of this information to any third party by making a request to the Company in writing.

Force majeure

The Company disclaims all responsibility for any failure to fulfil its contractual obligations in the event of a force majeure or chance event, including, but not limited to, disasters, fires, strikes within or outside the Company, failures or breakdowns within or outside the Company, and in general any event preventing the satisfactory execution of the orders.
